OKAPI PROFESSIONAL LICENCE

1. Eligible purchaser and licence grant
When an order is accepted and the matching entitlement is created, Okapi grants the named purchasing migration practice a non-exclusive, non-transferable, single-practice licence to use the purchased professional product and version in that practice's internal operations. The purchasing practice remains responsible for ensuring its users are appropriately authorised and supervised.
2. Permitted users and use
The practice may allow its employees and contractors who work under its control to use the product for the practice's own matters and operations. It may adapt working copies, enter client-specific facts, produce matter-specific outputs and retain reasonable backups and records. Completed matter-specific outputs may be provided to the relevant client or authority where appropriate.
3. Restrictions
The licence does not permit use by another practice, franchise, unrelated entity or independent practitioner; resale, redistribution, publication or sublicensing; sharing master or source files outside the licensed practice; use as a hosted template service; removal of rights notices; or creation of a competing commercial toolkit. Additional practices require separate licences unless a product page expressly grants broader rights.
4. Professional responsibility
The product is an operational tool, not a legal opinion, compliance certification, substitute for current source checking or outsourcing of professional judgment. Each registered migration agent remains responsible for the Migration Act, applicable regulations, the Migration Agents Code of Conduct, client obligations, supervision, records, advice and decisions. Product use must not create unregistered immigration assistance.
5. Privacy and client information
The practice controls any client information it enters into local working copies and must apply appropriate privacy, confidentiality, security, retention and breach-response controls. Sensitive client material must not be sent through ordinary product-support channels.
6. Ownership and adaptations
Copyright and other intellectual property in the master product remain with Okapi or the identified rights holder. The practice owns its client information and matter-specific content but does not acquire the reusable template, structure or source materials. Adaptations remain subject to the restrictions in this licence.
7. Updates, audit and security
The product page states the update entitlement. The practice must maintain a record of the product and version used where relevant. Okapi may use reasonable entitlement and download records to enforce licence and security controls. Okapi may suspend access where reasonably necessary for fraud, security, copyright or legal risk.
8. Termination and remedies
A material breach may result in termination after any legally required notice or opportunity to remedy. The practice must then stop using and distributing the reusable product, while preserving records that professional or legal duties require. Termination does not remove accrued statutory rights.
9. Governing documents
The accepted licence version, SKU, product version, purchaser and entitlement are recorded with the order. This licence operates with the Digital Product Terms, product page, Refunds and ACL Remedies policy and Privacy Notice.
